1. Agreement to Terms

By accessing or using the services provided by GrowEasy Digital LLC (“Company,” “we,” “our,” or “us”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, please do not use our services.

2. Services Description

GrowEasy Digital LLC provides web development, AI automation, and digital marketing services, including but not limited to:

• Custom website design and development

• Website maintenance and support
• Digital strategy consulting

3. Use of the Site

Permitted Use

You may use our Site for lawful purposes to learn about our Services, view our portfolio, submit inquiries, and communicate with us.

Prohibited Use

You agree not to:

• Use the Site in any way that violates applicable laws or regulations

• Transmit any viruses, malware, or other harmful code

• Use the AI chat assistant to attempt to extract proprietary information or generate harmful content

4. Client Responsibilities

As a client, you agree to:

• Provide accurate and complete information as required for your project
• Respond to communications and requests for feedback in a timely manner
• Ensure you have the rights to any content, images, or materials you provide
• Make payments according to the agreed-upon schedule
• Not use our services for any unlawful purpose
• Maintain backups of your own data and content

5. Project Terms

Proposals and Agreements

All projects begin with a written proposal or agreement outlining scope, timeline, deliverables, and pricing. Work will not commence until the proposal is accepted and any required deposit is received. These Terms of Service apply in addition to any project-specific agreement. In the event of a conflict, the project-specific agreement shall control.

Timeline

Project timelines are estimates based on the defined scope. Delays caused by late client feedback, scope changes, or factors outside our control may extend the timeline.

Revisions

Each project includes a specified number of revision rounds as outlined in the proposal. Additional revisions beyond the included rounds will be billed at our standard hourly rate.

6. Payment Terms

• A deposit (typically 50%) is required before project commencement
• Final payment is due upon project completion, before final files are delivered
• Monthly retainer services are billed at the beginning of each month
• Late payments may incur a 1.5% monthly interest charge
• Late payments may result in work suspension until the account is brought current
• All prices are in USD unless otherwise specified
• All fees are non-refundable unless otherwise stated in the project agreement

7. Intellectual Property

Our Property

All content on the Site — including text, graphics, logos, images, code, and design — is the property of GrowEasy Digital LLC and is protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works without our prior written consent.

Client Materials

You retain all rights to materials you provide (logos, images, content, etc.). You grant us a license to use these materials solely for the purpose of completing your project.

Deliverables

Upon full payment, you receive ownership of the custom work created specifically for your project. We retain the right to use general frameworks, tools, libraries, and methodologies developed through our work. We also reserve the right to showcase completed projects in our portfolio and marketing materials unless otherwise agreed in writing.

Third-Party Components

Projects may include third-party components (fonts, libraries, plugins) that are subject to their own licenses. We will inform you of any such components and their licensing requirements.

8. AI Services Disclaimer

Our AI-powered services, including chatbots and automation tools:

• Provide general information and are not a substitute for professional advice
• May occasionally produce inaccurate or unexpected responses
• Should not be used for critical decision-making without human verification
• Are dependent on third-party AI providers and their availability

Any project scope, pricing, or timeline discussed with the AI assistant is not binding until confirmed in a written project proposal or service agreement signed by both parties. We are not liable for any decisions made based on AI-generated content or responses.

9. Disclaimer of Warranties

The Site and Services are provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, secure, or error-free, that results obtained will be accurate or reliable, or that any specific business outcomes, revenue increases, or lead generation results will be achieved.

10. Limitation of Liability

To the maximum extent permitted by law, GrowEasy Digital LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

• Your use or inability to use our services
• Any unauthorized access to or use of our servers and/or any personal information stored therein
• Any interruption or cessation of transmission to or from our services
• Any bugs, viruses, or similar issues transmitted through our services

Our total liability for any claim arising out of or related to these Terms or the Services shall not exceed the amount paid by you to us for the specific Services giving rise to the claim during the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless GrowEasy Digital LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of our services, your violation of these Terms, your violation of any third-party rights including intellectual property rights, or any content or materials you provide to us.

12. Third-Party Links

Our Site may contain links to third-party websites or services that are not owned or controlled by us. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party websites or services.

13. Termination

Either party may terminate a project or service agreement with written notice. Upon termination:

• You will be billed for all work completed up to the termination date
• Any deposits for uncompleted work may be refunded at our discretion
• We will provide you with any completed deliverables upon payment
• Monthly retainer services can be cancelled with 30 days notice

We also reserve the right to suspend or terminate your access to the Site at any time, with or without cause and with or without notice. Upon termination, all provisions of these Terms that by their nature should survive shall remain in effect.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts located in Duval County, Florida.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify clients of any material changes. Your continued use of our services after such modifications constitutes acceptance of the updated Terms.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
