1. Agreement to Terms

By accessing or using the services provided by GrowEasy Digital LLC ("Company," "we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.

2. Services Description

GrowEasy Digital LLC provides web development, AI automation, and digital marketing services, including but not limited to:

• Custom website design and development
• AI chatbot integration and automation
• SaaS and web application development
• Website maintenance and support
• Digital strategy consulting

3. Client Responsibilities

As a client, you agree to:

• Provide accurate and complete information as required for your project
• Respond to communications and requests for feedback in a timely manner
• Ensure you have the rights to any content, images, or materials you provide
• Make payments according to the agreed-upon schedule
• Not use our services for any unlawful purpose

4. Project Terms

Proposals and Agreements

All projects begin with a written proposal or agreement outlining scope, timeline, deliverables, and pricing. Work will not commence until the proposal is accepted and any required deposit is received.

Timeline

Project timelines are estimates based on the defined scope. Delays caused by late client feedback, scope changes, or factors outside our control may extend the timeline.

Revisions

Each project includes a specified number of revision rounds as outlined in the proposal. Additional revisions beyond the included rounds will be billed at our standard hourly rate.

5. Payment Terms

• A deposit (typically 50%) is required before project commencement
• Final payment is due upon project completion, before final files are delivered
• Monthly retainer services are billed at the beginning of each month
• Late payments may incur a 1.5% monthly interest charge
• All prices are in USD unless otherwise specified

6. Intellectual Property

Client Materials

You retain all rights to materials you provide (logos, images, content, etc.). You grant us a license to use these materials solely for the purpose of completing your project.

Deliverables

Upon full payment, you receive ownership of the custom work created specifically for your project. We retain the right to use the completed project in our portfolio and marketing materials unless otherwise agreed in writing.

Third-Party Components

Projects may include third-party components (fonts, libraries, plugins) that are subject to their own licenses. We will inform you of any such components and their licensing requirements.

7. AI Services Disclaimer

Our AI-powered services, including chatbots and automation tools:

• Provide general information and are not a substitute for professional advice
• May occasionally produce inaccurate or unexpected responses
• Should not be used for critical decision-making without human verification
• Are dependent on third-party AI providers and their availability

We are not liable for any decisions made based on AI-generated content or responses.

8. Limitation of Liability

To the maximum extent permitted by law, GrowEasy Digital LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

• Your use or inability to use our services
• Any unauthorized access to or use of our servers and/or any personal information stored therein
• Any interruption or cessation of transmission to or from our services
• Any bugs, viruses, or similar issues transmitted through our services

9. Indemnification

You agree to indemnify and hold harmless GrowEasy Digital LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of our services or violation of these Terms.

10. Termination

Either party may terminate a project or service agreement with written notice. Upon termination:

• You will be billed for all work completed up to the termination date
• Any deposits for uncompleted work may be refunded at our discretion
• We will provide you with any completed deliverables upon payment
• Monthly retainer services can be cancelled with 30 days notice

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts located in Duval County, Florida.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify clients of any material changes. Your continued use of our services after such modifications constitutes acceptance of the updated Terms.
